Fusion Sanlam Maroc–Allianz Maroc: A&O Shearman Supports a Major Operation in the Insurance Sector

A&O Shearman, the international law firm, has advised SanlamAllianz on the absorption merger of Allianz Morocco into Sanlam Morocco. This strategic operation was officially approved during the extraordinary general meetings of both companies held on July 2, 2026.

This merger marks a significant milestone in the consolidation of the insurance sector in Morocco, strengthening the strategic partnership between the Sanlam and Allianz groups across the African continent.

A transaction validated by regulatory authorities

The completion of the transaction followed the acquisition of all necessary regulatory approvals.

The operation received the green light from the Competition Council, the Insurance and Social Welfare Supervisory Authority (ACAPS), and the Moroccan Capital Market Authority (AMMC), which had previously approved on June 15, 2026, the prospectus related to the capital increase of Sanlam Morocco.

These various validations have enabled the integration of Allianz Morocco into Sanlam Morocco, in line with the planned timeline.

A new heavyweight in the Moroccan insurance market

With this merger, the new entity becomes one of the major players in the Moroccan insurance market.

The group now has a market capitalization exceeding one billion euros, thereby solidifying its position among industry leaders and reinforcing the development ambitions of SanlamAllianz in Africa.

This operation also aims to create further synergies between the two companies by pooling their expertise, resources, and innovation capabilities to enhance the services offered to policyholders and partners.

The legal aspects of this transaction were handled by A&O Shearman, through a team led by partner Hicham Naciri.

He was joined by senior associates Zineb El Kouhen and Leila Benyahia, who contributed to the structuring and legal security of this significant operation.

With this merger, Sanlam Morocco opens a new chapter in its development, in a context characterized by the transformation of the insurance market and the strengthening of pan-African groups present on the continent.
