CAP Holding Plans to Acquire Minoterie Itrane SA: Strengthening its Position in the Grain Sector
CAP Holding, led by Chakib Alj, is preparing to take over the commercial assets of Minoterie Itrane SA, located in the industrial zone of Tassila in Inezgane, within the Souss-Massa region. This initiative is spearheaded by its subsidiary, Société Nouvelle des Minoteries Itrane (SNDMI), while the target company is currently undergoing judicial recovery proceedings.
The operation does not involve the acquisition of the entire capital of Minoterie Itrane SA but focuses on its commercial assets. The project must still pass through various regulatory steps, including a review by the Competition Council.
A Focus on Flour and Wheat Processing
The scope of the acquisition encompasses an industrial operation primarily dedicated to the processing of wheat and the production of flour, as well as the marketing of these products.
Located in Inezgane, the mill has a strong commercial presence in the Souss-Massa region, primarily focusing its activities on Agadir and its surrounding areas, while also maintaining a commercial presence in Marrakech.
For SNDMI, taking over an already established industrial facility would enable them to enhance their presence in a regional market where cereal activities play a crucial role in the food supply chain.
CAP Holding Expands Its Exposure to the Grain Sector
The planned acquisition aligns with CAP Holding’s strategy to develop its interests within the grain supply chain. The group is already involved in several activities related to this sector, including milling, trading, and grain storage.
The anticipated acquisition could allow the group to strengthen synergies between these various operations and better integrate activities located upstream and downstream of the grain processing chain.
This framework could also create additional synergies with other branches of the group, particularly in logistics, packaging, and animal nutrition. CAP Holding further boasts a diversified portfolio, with interests extending into the automotive and real estate sectors.
Inezgane: A Strategic Location for the Group
Beyond the industrial facility, the location of Minoterie Itrane in Inezgane is a significant component of the project. Positioned in the heart of the Souss-Massa economic basin, the city benefits from its proximity to Agadir and its role within the commercial and logistical flows in the south of the Kingdom.
For SNDMI, having an operational activity in this area would help solidify its regional presence and capitalize on existing industrial infrastructure rather than having to develop new capacity from the ground up.
Moreover, the mill’s commercial presence in Marrakech offers additional leverage beyond just the Souss-Massa market.
The File Submitted to the Competition Council
However, the transaction has not yet been finalized. The file has been submitted to the Competition Council, which has opened a ten-day period to gather any comments from interested third parties.
This step is part of the regulatory review process for the operation. Its outcome will depend on the continuation of the procedure and the decisions of the relevant authorities.
If completed, the takeover of Minoterie Itrane’s commercial assets would represent a significant advancement for CAP Holding in the Moroccan grain sector. It would enable the group to strengthen its industrial and commercial network in southern Morocco, covering a range of activities from wheat processing to storage, trading, and distribution.
